What is the opportunity?

The Quality Assurance team supports the Europe Structured Finance Department (ESFD) in legal, compliance and regulatory matters. Its principal role is to ensure that transactions booked and controlled by ESFD comply with applicable laws, regulations and the Bank’s internal policies, procedures and credit approvals and that the risk allocation on documents meets the requirements of ESFD management. The team is also responsible for certain compliance and conduct risk reporting for ESFD and for ensuring that ESFD staff are adequately trained. It is also ESFD’s point of contact with ED, Legal and Head Office on new laws and regulations.

What will you be doing?

•    Responsible for checking consistency between credit applications and transaction documents within ESFD, in accordance with the parameters agreed with ESFD management, and providing legal and compliance support within ESFD. 
•    Ensure appropriate origination, negotiation and execution of deals in accordance with applicable laws, regulations, the bank’s policies, procedures and approvals. 
•    Ensure transaction contracts are of a high standard and legal issues are appropriately recorded and followed.
•    Ensure that, where appropriate, ESFD is seeking advice and obtaining legal opinions from local law counsel in other jurisdictions.
•    Monitor and report Compliance matters for ESFD, as allocated by team head and ESFD management.
•    Keep up to date with legal and regulatory developments impacting ESFD.
•    Take responsibility for sharing experience and information within ESFD, both on the job and by delivering training to ESFD.
•    Advise ESFD on sanctions and their impact on ESFD transactions.
•    Support ESFD in the delivery of certain ad hoc projects, e.g. the LIBOR transition project. 
•    Other compliance responsibilities are as required as a Mizuho employee: 
o    Read, understand and comply with Mizuho London’s Compliance Manual
o    Be up to date with Anti Money Laundering training
o    Sign the required compliance undertakings
•    Report promptly any identified compliance or money laundering risks or actual breeches to the Compliance Department and/or ED.
•    Foster good business relationship with:
o    Senior Management and other Business Units within ESFD
o    Other relevant divisions within the bank. 
o    External law firms and other legal counsel
•    Other duties as may be requested by senior management and head of Quality Assurance Team to support ESFD’s ongoing quality assurance requirements and qualitative/quantitative targets.

 

What do you need to succeed?

•    A qualified lawyer in England & Wales or a similar common law jurisdiction.
•    A minimum of 1 year PQE preferably in corporate or structured finance.
•    Knowledge of French language desirable but not essential.
•    Good knowledge of bank finance market, with excellent knowledge of standard loan documentation (e.g. LMA). Knowledge of project finance, securitization, Islamic finance, real estate finance and experience with US, EU and UK sanctions, preferable.
•    Has great organisational and time management skills and has a strong interest in transactional work and the ability to oversee multiple transactions simultaneously.
•    Ability to work with limited supervision and shows initiative, flexibility and adaptability.
•    Has excellent analytical abilities and good commercial acumen and can provide on the spot legal and regulatory advice in situations requiring quick analysis and has an ability to exercise good judgement and identify and escalate legal risks under time pressure.
•    Is a good team player, confident and proactive, enjoys working closely with business colleagues as well as other internal control functions.
•    Is dedicated to fostering an inclusive culture and values diverse perspectives.
•    High level of computer literacy including Word, Excel and Powerpoint.
